A SPV (Special Purpose Vehicle) is a standalone company created to hold a specific asset, project, or transaction, separate from the wider group. SPVs ring‑fence risk, simplify financing, and keep assets or transactions isolated from group companies and personal assets.
Common uses include property acquisitions, financing structures, asset ownership, securitisation, joint ventures, and investment vehicles. In the Private Wealth sector SPVs are commonly used as Family Investment Companies (FIC), with mixed share classes and a portfolio of different assets.
We provide a comprehensive service which includes establishing your SPV, providing a registered office address, fulfilment of annual filings and any other transactional / deal documentation. We can also provide UK resident Directors and, as an Authorised Corporate Services Provider (ACSP) we can also complete Companies House Director and PSC filings.

Typically we require a clear indication of the ownership structure and the director details with proof of identity and address for all major shareholders (>15%). We also need a detailed understanding of what the SPV will be used for and the flow of capital related to it.
Absolutely. If you currently manage them yourselves this is a very straight forward process and we can make the changes in as little as 24 hours. Once we have them under our oversight, we will provide a quick check of the registers to make sure everything is in good standing.
If you currently use another service provider, we will happily work with them to arrange the transfer of your entities over to us. It is worth noting however, most services providers require a notice period to terminate their contract and their final invoice paying before they release your SPVs.
Firstly - you will be provided with a dedicated relationship manager that you can speak to directly at any time (within regular office hours) should you have concerns about your compliance or want to give us a 'heads-up' on an upcoming transaction.
In addition to that, for clients with SPV portfolios (>5) - we can provide access to our online entity management platform so you can view the status of your SPVs and any filings in real-time.
